1. Relationship to the Master Terms of Service
These API Terms of Service (“API Terms”) govern programmatic access to the EDIBridge Transform API (the “API Service”), a product of Tebco Mining LLC (“Company,” “we,” “us,” or “our”), offered under the registered assumed name EDIBridge. The API Service is a distinct product line from the EDIBridge SaaS platform but is operated by the same Company and governed by the same underlying Terms of Service available at edibridge.com/terms (the “Master Terms”), which are incorporated herein by reference. These API Terms supplement the Master Terms for matters specific to the API Service; in the event of a direct conflict between these API Terms and the Master Terms on an API-specific matter, these API Terms control. On all matters not addressed here, the Master Terms control.
2. Acceptance
By accessing or calling any endpoint of the API Service — including through an API key, the Model Context Protocol (MCP) server, or any anonymous, unauthenticated endpoint — you (“Developer,” “Customer,” or “you”) agree to be bound by these API Terms. If you are accessing the API Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
3. Description of Service
The API Service provides programmatic, structure-aware transformation and validation of business documents, including CSV, JSON, and X12 EDI formats, delivered via a metered HTTP API and an MCP server. Available endpoints, supported directions, and rate limits are described at transform.edibridge.com/v1/health and transform.edibridge.com/v1/openapi.json, which are the authoritative and only claimable statement of what is currently live. The Company may add, remove, or modify endpoints, supported directions, and rate limits at its discretion.
4. API Keys and Accounts
4.1 Issuance. API keys are issued upon purchase of a prepaid credit pack via Stripe Checkout, tied to the email address supplied at purchase. No separate account registration is required to obtain or use an API key.
4.2 Confidentiality. You are solely responsible for safeguarding your API key. You are responsible for all activity conducted using your API key, whether or not authorized by you, until you notify us of a suspected compromise at [email protected].
4.3 One-Time Display. Your API key is displayed once, at the time of issuance, via email. The Company does not store or display your key in plaintext after issuance and cannot recover a lost key; a lost key must be replaced by a new purchase.
4.4 Revocation. The Company may suspend or revoke an API key at its sole discretion for suspected fraud, abuse, violation of these API Terms, or non-payment.
5. Acceptable Use
In addition to the acceptable-use obligations in the Master Terms, you agree not to:
- exceed or attempt to circumvent published rate limits or free-tier allowances;
- share, sell, sublicense, or resell your API key or access without the Company’s prior written consent;
- use the API Service to build a directly competing transformation or validation product using Company-owned mapping logic;
- submit content that is unlawful, infringing, or that you do not have the right to process; or
- attempt to reverse-engineer, decompile, or extract the underlying transformation engine.
6. Fees, Credits, and Billing
6.1 Prepaid Model. The API Service is billed on a prepaid credit basis. Credits are purchased in fixed packs via Stripe Checkout at the prices published at transform.edibridge.com/#pricing and debited per API call at the rates published there and in the OpenAPI specification.
6.2 No Subscription. Credit purchases are one-time purchases, not subscriptions. You are never charged automatically; each purchase is a discrete transaction you initiate.
6.3 Free Tier. Certain endpoints (currently transform and validate) include a limited daily free allowance per IP address, described in the published API documentation. The free allowance may be modified or discontinued at the Company’s discretion.
6.4 Credit Expiration and Refunds. Credit expiration and refund terms are set out in the EDIBridge Transform API Refund & Credit Policy, incorporated herein by reference.
6.5 Price Changes. The Company may change prices for future purchases at any time by updating the published pricing. Credits already purchased are debited at the per-call rate in effect at the time of the call, unless otherwise stated in the Refund & Credit Policy.
7. Disclaimers
THE API SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
VALIDATION OUTPUT FROM THE API SERVICE CONSISTS OF PRE-FLIGHT FINDINGS AGAINST THE COMPANY’S OWN FIXTURES AND PUBLISHED PROFILES. A PASSING VALIDATION RESULT IS NOT A GUARANTEE OF ACCEPTANCE BY ANY TRADING PARTNER, RETAILER, OR THIRD-PARTY SYSTEM. YOUR COMPLIANCE WITH ANY SPECIFIC TRADING PARTNER’S REQUIREMENTS REMAINS YOUR SOLE RESPONSIBILITY.
THE COMPANY DOES NOT WARRANT THAT THE API SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL DEFECTS WILL BE CORRECTED.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS GOODWILL.
THE COMPANY’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER THESE API TERMS OR RELATED TO THE API SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO THE COMPANY FOR API CREDITS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
9. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its members, managers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the API Service or your violation of these API Terms.
10. Termination
Either party may stop using or offering the API Service at any time. Sections 6.4, 7, 8, 9, 11, and 12 survive termination. Unused credits are handled per the Refund & Credit Policy.
11. Governing Law and Jurisdiction
These API Terms are governed by the laws of the State of South Carolina, United States of America, without regard to its conflict of laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Charleston County, South Carolina for any disputes arising under these API Terms, subject to the arbitration and class-action waiver provisions of the Master Terms.
